End User License Agreement

1. AGREEMENT TO TERMS

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "you," or "your") and Noize Communications LLC ("Company," "we," "us," or "our") for access to and use of the Customer Portal located at portal.noizetech.net (the "Portal").

By accessing or using the Portal, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Portal.

2. DESCRIPTION OF SERVICE

The Portal provides customers of Noize Communications LLC with access to:

• View account information and billing statements
• Review current and past invoices
• Check service status
• Access account history
• Communicate with customer support
• Manage account preferences

The Portal integrates with our accounting systems to display real-time billing and service information.

3. ACCOUNT REGISTRATION AND SECURITY

3.1 Account Creation

• You must be an active customer of Noize Communications LLC to use the Portal
• You may receive an activation email to create your Portal account
• You are responsible for providing accurate and current information

3.2 Account Security

• You are responsible for maintaining the confidentiality of your login credentials
• You agree to notify us immediately of any unauthorized use of your account
• You are responsible for all activities that occur under your account
• We reserve the right to terminate accounts that we believe have been compromised

3.3 Password Requirements

• Passwords must meet minimum security standards
• You should not share your password with others
• You should use a unique password not used for other services

4. ACCEPTABLE USE

4.1 Permitted Uses

You may use the Portal only for:

• Viewing your own account information
• Managing your own customer account
• Communicating with Noize Communications LLC regarding your service
• Legitimate business purposes related to your customer relationship

4.2 Prohibited Uses

You agree NOT to:

• Access or attempt to access other users' accounts or information
• Use the Portal for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Portal
• Interfere with or disrupt the integrity or performance of the Portal
• Transmit any viruses, malware, or harmful code
• Use automated systems (bots, scrapers) to access the Portal
• Reverse engineer, decompile, or disassemble any portion of the Portal
• Remove or modify any copyright, trademark, or proprietary notices
• Use the Portal in any way that could damage our reputation or business
• Attempt to bypass any security measures or access controls

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ownership

The Portal, including all content, features, functionality, software, text, graphics, logos, and design, is owned by Noize Technologies LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Portal solely for your personal use in connection with your customer account. This license does not include:

• Any resale or commercial use of the Portal
• Any collection or use of product listings, descriptions, or prices
• Any derivative use of the Portal or its contents
• Any downloading or copying of account information for the benefit of another party
• Any use of data mining, robots, or similar data gathering tools

5.3 Trademarks

"Noize Technologies," our logo, and other marks are trademarks of Noize Communications LLC. You may not use these marks without our prior written permission.

6. USER DATA AND PRIVACY

6.1 Your Information

By using the Portal, you acknowledge that we collect, store, and process information about you and your account as described in our Privacy Policy.

6.2 Data Accuracy

While we strive to ensure the accuracy of the information displayed in the Portal:

• Information is synced from our accounting and billing systems
• There may be delays in data synchronization
• You should verify critical information by contacting us directly
• In case of discrepancies, our official billing records take precedence

6.3 Data Retention

We retain your Portal access and account information for as long as you remain an active customer, and for a reasonable period thereafter for legal and business purposes.

7. DISCLAIMER OF WARRANTIES

7.1 "AS IS" Basis

The Portal is provided without warranties of any kind, including but not limited to:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Security
• Accuracy
• Reliability

7.2 No Guarantee of Availability

We do not guarantee that:

• The Portal will be available at all times or without interruption
• The Portal will be error-free or free from viruses or harmful components
• Defects will be corrected
• The Portal will meet your specific requirements

7.3 Third-Party Services

The Portal integrates with third-party services (including QuickBooks Online). We are not responsible for:

• The availability or performance of third-party services
• Changes to third-party service terms or pricing
• Data accuracy from third-party sources

8. LIMITATION OF LIABILITY

8.1 Exclusion of Damages

We shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or delays
• Unauthorized access to your account due to your failure to secure credentials
• Errors or inaccuracies in the information displayed
• Any damages arising from your use or inability to use the Portal

8.2 Maximum Liability

Our total liability to you for all claims arising from or related to the Portal shall not exceed the amount you paid for services in the three (3) months preceding the event giving rise to liability.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Noize Communications LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Portal
• Your violation of this Agreement
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any content you submit through the Portal

10. MODIFICATIONS TO THE PORTAL

10.1 Right to Modify

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Portal at any time
• Change features, functionality, or content
• Implement new features or services
• Restrict access to certain features or information

10.2 No Obligation to Notify

We are not obligated to provide advance notice of modifications, though we will attempt to notify you of significant changes when practical.

11. TERM AND TERMINATION

11.1 Term

This Agreement begins when you first access the Portal and continues until terminated by either party.

11.2 Termination by You

You may terminate this Agreement at any time by:

• Discontinuing use of the Portal
• Requesting account closure through customer support

11.3 Termination by Us

We may terminate or suspend your access immediately, without prior notice, for:

• Violation of this Agreement
• Fraudulent or illegal activity
• Non-payment for services
• Termination of your customer relationship
• Any other reason at our sole discretion

11.4 Effect of Termination

Upon termination:

• Your right to access the Portal immediately ceases
• We may delete your Portal account and associated data
• Provisions that by their nature should survive termination will continue

12. DISPUTE RESOLUTION

12.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

12.2 Jurisdiction

You agree that any legal action or proceeding arising from or related to this Agreement shall be brought exclusively in the state or federal courts located in Peoria County, Illinois, and you consent to the jurisdiction of such courts.

12.3 Informal Resolution

Before filing any formal legal action, you agree to first contact us at support@noizenet.net to attempt to resolve the dispute informally.

12.4 Class Action Waiver

13. CHANGES TO THIS AGREEMENT

13.1 Right to Modify

We reserve the right to modify this Agreement at any time. Changes will be effective immediately upon posting to the Portal.

13.2 Notice of Changes

We will provide notice of material changes by:

• Updating the "Last Updated" date at the top of this Agreement
• Posting a notice on the Portal login page
• Sending an email to your registered email address (when practical)

13.3 Acceptance of Changes

Your continued use of the Portal after changes are posted constitutes your acceptance of the modified Agreement. If you do not agree to the changes, you must discontinue use of the Portal.

14. GENERAL PROVISIONS

14.1 Entire Agreement

This Agreement, together with our Privacy Policy and any other legal notices published on the Portal, constitutes the entire agreement between you and Noize Technologies LLC regarding the Portal.

14.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remainder of this Agreement remains in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer this Agreement or your rights under it without our prior written consent. We may assign this Agreement without restriction.

14.5 No Agency

Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between you and Noize Technologies LLC.
